Article I: Name and Location

Section 1. The name of this Theological Seminary shall be Calvary Baptist Theological Seminary, Lansdale, Pennsylvania.

Section 2. The location of this Theological Seminary shall be in the Township of Towamencin, County of Montgomery and State of Pennsylvania. Its registered Office shall be 1380 Valley Forge Road, Lansdale, Pennsylvania.

Article II: Purpose

Section 1. The objectives and purposes of this corporation shall be non-profit, educational, religious and scientific:

(a) To promote theological education; to train in Christian education, Christian missions and Christian service, and such other instruction as may be needed or deemed essential to properly equip preachers, missionaries, directors of Christian education and other Christian workers for the performance of their respective duties to the glory of God and in order that the Word of God may be speedily proclaimed to all the nations of the earth;

(b) To edit and publish such texts, pamphlets and other literature as shall grow out of or be in any manner connected with its objects and purposes and/or shall be of advantage or benefit thereto;

(c) To send out deputations to study missions and other Christian efforts first hand on the field;

(d) To own and operate radio and/or television broadcasting facilities for educational or other school purposes.

(e) To do such other and further things in connection with or appertaining to the objects and purposes above outlined as may be consistent therewith and/or as may be reasonably necessary or proper in furthering the Christian religion and spreading the Gospel.

Article III: Non-Profit Corporation

Section 1. This Corporation is not organized for profit. It is organized exclusively for the purposes set forth in Article I of the Constitution; being educational, religious and scientific in nature.

Section 2. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in any political campaign on behalf of any candidate for public office.

Section 3. Upon the dissolution of the corporation, the Board of Trustees shall, after paying or making provision for the payment of all the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, education, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Trustees shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

Section 4. This organization will not discriminate against applicants and students on the basis of race.

The Calvary Baptist Theological Seminary, Lansdale, Pennsylvania, admits students of any race, color, national and ethnic origin to all the rights, privileges, programs and activities generally accorded or made available to students at the Seminary. It does not discriminate on the basis of race, color, national and ethnic origin in administration of its educational policies, admissions, policies, scholarship and loan programs, and athletic and other school-administered programs.

Article IV: Duration

Section 1. The period of duration of this corporation shall be perpetual.

Article V: Governance

Section 1. Calvary Baptist Theological Seminary, Lansdale, Pennsylvania, shall be under the management, direction, government and control of a Board of Trustees, which shall consist of no less than sixteen (16) and no more than thirty-two (32) members. These members shall be elected and serve as provided in the By-Laws and shall constitute the sole members of the Corporation.

Section 2. The Board of Trustees shall possess and exercise all powers bestowed upon it by the Constitution, by the Statutory laws of the Commonwealth of Pennsylvania and by the By-Laws, so long as these do not conflict with the laws of the Commonwealth of Pennsylvania.

Section 3. The Board of Trustees shall elect the president of the Seminary as Administrative Officer and provide administration and faculty consonant with the stated purpose of the Seminary. The Board may from time to time delegate its authority in specific areas of responsibility by By-Laws or Resolution.

Section 4. Meetings of the Board of Trustees shall be called, constituted and conducted at such times and in such manner as the By-Laws provide.

Article VI: Assets

Section 1. The Corporation shall have at all times a minimum protective endowment, or contributed services of financial support equivalent in value to such endowment, of not less than Five Hundred Thousand Dollars ($500,000.00), beyond all indebtedness and assets invested in buildings and apparatus, for the exclusive purpose of promoting instruction in the Seminary.

Article VII: Staff

Section 1. The faculty of the Seminary shall consist of at least three (3) regular professors who devote all their time to instruction in the special branch for which the Seminary is established, and two (2) more instructors or fellows in that particular branch, who shall be provided to assist in the instruction to be given the students, for the promotion of original investigation and in the development and growth of the special branch of science to which the Seminary is devoted.

Article VIII: Students

Section 1. The qualifications for admission of students to the Seminary and the courses of study to be pursued in the Seminary shall be as prescribed in the most recent catalogue of the Seminary issued from time to time.

Article IX: Amendment

This Constitution may be amended or altered in any regular or special meeting by the consent of two-thirds (2/3) of the Board of Trustees, provided that such amendment or alteration shall have been given to each member of said Board at least two weeks prior to such meeting when the amendment shall be acted upon, setting forth the substance of the amendment or alteration proposed.
